The term ‘The Law Place Ltd’ or ‘us’ or ‘we’ refers to the owner of the website whose registered office is 6 Key West, Eastbourne, BN23 5TD. Our company is registered in England and Wales number 07190656. The term ‘you’ refers to the user or viewer of our website.

Terms and Conditions

1. Definitions

1.1 “The Law Place”, “we” or “us” means The Law Place Limited registered in England and Wales number 07190656 at 6 Key West, Eastbourne, BN23 5TD operating as a legal and commercial consultancy.

1.2 “Client” means the person, including limited companies, who has instructed The Law Place to perform Services as may be agreed between the parties.

1.3 “Services” means the legal or commercial consultancy work performed by The Law Place in accordance with the Client’s instructions.

2. Fees

2.1  Unless specifically agreed between the parties payment is required in advance before work can commence.

2.2  In all other respects payment is due within 3 days of receipt of an invoice.

2.3  When undertaking work in respect of a contentious case chargeable at the prevailing hourly rate The Law Place will give notice to the Client when funds paid by the Client on account of costs have been expended.

2.4  In respect of clause 2.3 work can only continue when additional funds are paid by the Client to The Law Place.

2.5 The Client is responsible for paying for any and all disbursements including but not limited to travel costs, Counsel’s costs, Tribunal fees as applicable and photocopying.

2.6  Invoices confirming payment for Services provided by The Law Place will be issued monthly in arrears.

2.7 The Client agrees that any and all legal and procedural (including but not limited to liaising with recruiters on behalf of a limited company contractor Client) advice given by telephone or email is chargeable at the rates indicated in this website from time to time and The Law Place will send a PayPal invoice within such period as it deems reasonable.

2.8 Further, the Client agrees that any work outside the scope of any instruction (including but not limited to requests for advice after completion of a fixed price product such as an IR35 Contract Review or block of billable time to amend a document) is chargeable at the rates indicated in this website from time to time and The Law Place will send a PayPal invoice within such period as it deems reasonable. Unless otherwise agreed where the Client has requested advice by email or by telephone the Client agrees that any and all time incurred will be chargeable based on the nearest minute. The formula for charging is N/60 x 150 £(hourly rate) where N is the number of minutes used.

2.9 For the avoidance of doubt The Law Place operates as a business and cannot provide free advice. The Client also accepts that information regarding fee rates on this website is sufficient for it to be deemed informed of the prevailing fee rates without further notice by The Law Place.

2.10 The Law Place shall charge interest on such overdue sum on a day to day basis from the original due date until paid in full at the rate prescribed under the Late Payment of Commercial Debts (Interest) Act 1998 and charge an administration fee of £500 for any overdue sum. The Law Place reserves the right to commence a claim in the County Court without further notice for breach of contract for any overdue sum and register such debt with a credit reference agency and the Client agrees to pay any and all litigation costs together with statutory interest. Further, the Client accepts that a Statutory Demand may be served at any time following notice of late payment.

2.11 From time to time The Law Place may offer existing Clients reduced charges for IR35 related services. The offer of reduced costs for IR35 services is made on the basis that an existing Client successfully introduces two new Clients. For the avoidance of doubt an introduction must result in two new Clients who procure services from The Law Place Limited. Any offer made by The Law Place Limited is on a purely discretionary basis and may be withdrawn.

2.12 Meetings: unless otherwise agreed attendance and travelling to meetings at any location is chargeable at the prevailing hourly rate, e.g. travelling from The Law Place’s premises in Eastbourne to London for a meeting (whether or not legal advice is provided) will involve a minimum charge of 5 hours at the prevailing hourly rate.

3. Cancellation and Refunds

3.1 In the event that the Client wishes to cancel an order for a Service which provides a 24 hour delivery time, the Client must inform The Law Place in writing as soon as reasonably practical within the same 24 hour period of placing the order.

3.2 A refund cannot be made if the work is partially completed or has been completed at the time the request has been made.

3.3 Any refund is subject to a 20% administration charge.

4. Warranty

4.1 The Law Place warrants that any Services provided for a Client are of reasonable quality, performed with reasonable skill and care, free from defects and are delivered within any agreed timeframe.

4.2 The Client warrants that it will comply with any requests for information made by The Law Place, provide accurate and truthful information as required for any Service, liaise with any third party as necessary in order to facilitate representation, use its best endeavours to obtain any requested information and evidence from third parties in order to facilitate representation and keep The Law Place informed of any changes in information provided which may reasonably affect the advice given by The Law Place.

5. Limitation of Liability

5.1 The Law Place specifically excludes liability in excess of the insurance limit of £500,000.

5.2 Liability is specifically excluded for any indirect or consequential loss or loss of anticipated profit or other benefit.

5.3 Liability is specifically excluded in the event where the loss is attributable to the Client’s failure or omission to supply information at The Law Place’s request or where information supplied by the Client is incorrect or changes over time.

6. Complaints

6.1  Complaints may be referred to a director of The Law Place who will respond within a reasonable timeframe. Any refunds or credit notes will be subject to the sole discretion of a director of The Law Place.

7. Amendments

7.1  The Law Place reserves the right to amend this agreement at any time without notice.

8. Confidentiality, Copyright and Intellectual Property

8.1 All documents produced by The Law Place and the copyright and intellectual property or similar protection therein arising out of the performance by The Law Place of the Services as hereunder shall vest in The Law Place absolutely.

8.2 Any advice, whether verbal or written, is confidential legal advice and The Law Place shall not be liable in the event that a client discloses advice to any third party, for example, to a recruiter, a client of the client or HM Revenue & Customs.

8.3 The Client undertakes to not disclose any advice or emails  provided by The Law Place to any third party and agrees to be liable for any reasonable costs, damages, losses to the maximum extent allowed by law as may be suffered by The Law Place.

8.4 The Law Place reserves the right to discontinue with immediate effect any instruction or services for the Client in the event that the Client breaches this clause 8.

9. Force Majeure

9.1 The Law Place shall not bear liability for loss, damage or delay howsoever arising caused by circumstances outside its control of whatsoever kind.

10. Invalidity

10.1 If any part of these Terms and Conditions is held by any Court or competent authority as invalid, the validity of the remainder of these Terms and Conditions and of the remainder of the provisions in question shall not be affected thereby.

11. Notices

11.1 Any notices to be given to The Law Place shall be sent by a recorded delivery or by electronic mail to and shall be deemed to be served within one day of receipt.

12. Data Protection Policy

12.1 The Law Place undertakes to keep any information provided by the Client confidential and will not disclose any such information unless instructed by the Client in writing or by order of the court.

12.2 In accordance with the Data Protection Act 2018 (as amended) The Law Place will retain information supplied by the Client for up to 6 years (or for such shorter period as requested in writing by the Client) whereupon such information will be either returned to the Client or securely destroyed.

12.3 The Law Place does not keep “cookies” or any tracking data.

13.  Jurisdiction

13.1 The proper law of this Contract is English and Welsh Law whose courts shall have exclusive jurisdiction in relation to any matter arising from this agreement.

14. Conflicts of Interest

14.1 The Client acknowledges that The Law Place will discontinue advising or otherwise acting for and on behalf of the Client where any conflict of interest arises, including but not limited to instances where the Client has sought advice in relation to the same matter (including reviews of contracts) from another organisation which is in competition with The Law Place or offers similar services.

14.2 Where a Client discloses advice, including an IR35 Contract Review, to another organisation in order to compare advice or for any other purpose, the Client acknowledges that such action is in breach of clause 8 and the Client will be liable to The Law Place for liquidated damages in the sum of £15,000.

15. Unsolicited Sales Calls

15.1 Any person who contacts The Law Place, whether by telephone or in writing, with a view to selling goods or services to The Law Place shall become liable for any time and reasonable expenses incurred by The Law Place as if a Client of The Law Place in relation to clause 2.

15.2 Any attempt, whether or not successful, to contact The Law Place by a person intending to sell goods or services to The Law Place shall constitute acceptance of these Terms and Conditions including, for the avoidance of doubt, agreement to pay any invoice in accordance with clauses 2 and 15.1.

15.3 A director of The Law Place may waive clause 15 by prior written agreement.

16. Personnel

16.1 The Law Place is a business (not an ‘outside IR35 consultancy’ or ‘personal service company’) and has absolute discretion as to the equipment, location, method and personnel used in performing Services for Clients. 

17. Reasonableness

17.1 The Client acknowledges that these Terms and Conditions are not to be negotiated or otherwise varied and are in all respects reasonable to protect The Law Place’s commercial interests.
